Summary of Key Terms

At 478 Studios one of our core principles is transparency so it's important that we share and publish our summary of key terms with you to ensure we can truly work in harmony, exceed your expectations and be more than a third party supplier, but your trusted creative partner.

The Agency will aim to meet the agreed estimated project completion date (“EPCD”). If the project is not completed within 30 days of the EPCD due to Client delays in providing feedback, assets, approvals, content or any form of information requested, the Agency reserves the right to discuss and submit a revised proposal and fees to accommodate unforeseen expenses due to the unplanned extension of the Services.

The Client needs to:

  • provide to the Agency feedback and approvals within 72 hours of receipt of work from the Agency;
  • check proofs carefully for accuracy in all respects, ranging from spelling to technical illustrations. The Agency is not liable for errors or omissions.
  • sign-off on all artwork prior to release for printing or other implementation.
  • The Client shall pay the initial invoice for 50% of the fees (the “Deposit”) in advance.
  • The Client shall pay the second invoice for 25% of the fees on completion of the penultimate phase of the services.
  • The Client shall pay the final invoice for the remaining 25% of the fees on completion of the final phase of the services
  • Late payment will incur interest at 8% a year above the Bank of England’s base rate from time to time.
  • The fees assume no more than two draft deliverables under the Services agreed between the parties are required.
  • If more than two revisions or alterations to the deliverables are required by the Client, these will be billed at our standard hourly rate.

In relation to the deliverables:

  • The Agency retains ownership of all Intellectual Property Rights in the Deliverables.
  • The Agency grants to the Client a sole licence under the Intellectual Property Rights to reproduce the works.
  • The Client shall reproduce the works without any substantial alteration or amendment. On completion of the project, if the Client requires an alteration or amendment to the Deliverables, the Client is required to request that the Agency make the changes.
  • For the avoidance of doubt, the Client may not engage another agency to amend or gain inspiration from the Agency’s designs.

The total liability of either party (except for the client’s non-payment of fees and where liabilities cannot legally be limited) shall be limited to 100% of the fees paid or payable by the client under this agreement.

This agreement is governed by and under the exclusive jurisdiction of the law of England.
